By accessing or using the website operated by Mahantam Consulting & Services ("we," "us," or "our") at mahantam.ca, or by engaging our consulting services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page with an updated effective date. Your continued use of our website or services after such changes constitutes your acceptance of the revised Terms.

2. Description of Services

Mahantam Consulting & Services provides consulting-led technology services to small and medium-sized businesses (SMBs). Our service offerings include, but are not limited to:

• Security Services: SOC as a Service, vCISO, Compliance Audits, Penetration Testing, Vulnerability Management, Incident Response, Security Awareness Training, and Cloud Security.
• IT Infrastructure Services: Managed IT & Help Desk, Cloud Infrastructure, Network Management, and Backup & Disaster Recovery.
• Development Services: Software Development and Website Development.

The specific scope, deliverables, timelines, and fees for any engagement will be defined in a separate Statement of Work (SOW) or service agreement executed between you and Mahantam Consulting & Services.

3. Use of Website

3.1 Permitted Use

You may use our website for lawful purposes only, including learning about our services and contacting us through our contact form. You agree not to use the website in any way that could damage, disable, or impair its functionality or interfere with other users' access.

3.2 Prohibited Conduct

4.2 Client Work Product

Unless otherwise specified in the applicable Statement of Work or service agreement, all deliverables and work product created specifically for a client during a consulting engagement shall become the property of the client upon full payment. Mahantam Consulting & Services retains ownership of its pre-existing intellectual property, proprietary methodologies, tools, and frameworks, including any general knowledge, techniques, or skills developed during the engagement.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of a service engagement. Specific confidentiality obligations will be outlined in the applicable service agreement or a separate Non-Disclosure Agreement (NDA). Information submitted through our website contact form will be treated in accordance with our Privacy Policy.

6. Service Agreements and Payment

All consulting engagements are subject to a separate service agreement or Statement of Work (SOW) that defines the scope, deliverables, timelines, fees, and payment terms. These Terms of Service apply in addition to any such agreements. In the event of a conflict, the terms of the specific service agreement will prevail.

Payment terms, including invoicing schedules, accepted payment methods, and late payment penalties, will be specified in the applicable service agreement.

7. Limitation of Liability

7.1 Website Use

This website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.

7.2 Consulting Services

To the maximum extent permitted by applicable law, Mahantam Consulting & Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our website or the provision of our consulting services, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total aggregate liability for any claims arising from a consulting engagement shall not exceed the total fees paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the date of the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Mahantam Consulting & Services, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of our website in violation of these Terms or your breach of any applicable service agreement.

9. Termination

We reserve the right to restrict or terminate your access to our website at any time, without notice, for any reason, including if we reasonably believe you have violated these Terms.

Termination of a consulting engagement will be governed by the terms of the applicable service agreement. In the absence of specific termination provisions, either party may terminate an engagement by providing thirty (30) days' written notice. Termination does not relieve either party of obligations accrued prior to the termination date, including payment for services already rendered.

10. Dispute Resolution

10.1 Informal Resolution

In the event of a dispute arising out of or relating to these Terms or any service engagement, the parties agree to first attempt to resolve the matter through good-faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party.

10.2 Mediation

If the dispute cannot be resolved through negotiation within thirty (30) days, the parties agree to submit the matter to non-binding mediation administered by a mutually agreed-upon mediator in Ottawa, Ontario, Canada, before pursuing any other form of dispute resolution.

10.3 Jurisdiction

If mediation is unsuccessful, any legal proceedings shall be brought exclusively in the courts of the Province of Ontario, Canada. Both parties consent to the exclusive jurisdiction and venue of such courts.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12. Third-Party Links

Our website may contain links to third-party websites or services that are not owned or controlled by Mahantam Consulting & Services. We are not responsible for the content, privacy policies, or practices of any third-party websites. Your use of such websites is at your own risk, and we encourage you to review the terms and privacy policies of any third-party sites you visit.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Mahantam Consulting & Services regarding your use of the website. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
